Terms of Service
This Terms of Service document outlines the agreement between you, the Client, and Surcoat, the agency. By engaging our services, you agree to these terms.
1. Scope of Services
Surcoat agrees to provide professional brand identity and strategy services as outlined in the project proposal and statement of work. Services may include, but are not limited to, brand strategy workshops, visual identity design (logo, color palette, typography), brand guidelines documentation, and other related services as specified.
Any work or revisions outside of the agreed-upon scope will be considered a new project and will require a separate proposal or change order.
2. Client Responsibilities
To ensure the project's success, the Client agrees to:
Provide all necessary information, assets, and feedback in a timely manner.
Designate a single point of contact for all communications.
Make timely payments according to the agreed-upon schedule.
Review and approve all project milestones and deliverables promptly.
3. Payment and Fees
Project Fee: The total project fee will be detailed in the project proposal. A non-refundable retainer or initial payment, typically 50% of the total fee, is required to begin work.
Invoicing: Invoices will be issued at project milestones as outlined in the proposal.
Late Fees: All invoices are due within 30 days of receipt. A late fee of 5% of the outstanding balance may be applied for every 15 days the payment is overdue.
4. Intellectual Property
Surcoat retains ownership of all concepts, designs, and intellectual property until final payment is received.
Upon final payment, Surcoat will transfer the rights and ownership of the final, approved brand assets (e.g., logo files, brand guidelines) to the Client.
The Client acknowledges that Surcoat may use the completed project in its portfolio and for promotional purposes (e.g., on its website, social media, or in presentations).
5. Revisions and Approval
Surcoat provides a set number of revision rounds as defined in the project proposal. Additional revisions will be subject to an hourly rate.
Final approval of a deliverable must be provided in writing (e.g., via email). Once a deliverable has been approved, any further changes will be considered a new project and will be billed separately.
6. Confidentiality
Both parties agree to treat all business information, including project details, proprietary information, and trade secrets, as confidential and will not disclose it to any third party without written consent. This includes any freelancers or third-party contractors hired by Surcoat to assist with the project, who will also be bound by a confidentiality agreement.
7. Termination of Agreement
Either party may terminate this agreement with 15 days written notice if the other party fails to perform its obligations.
If the Client terminates the agreement for reasons other than a breach by Surcoat, the initial retainer and any fees for work completed up to the date of termination will be forfeited.
If Surcoat terminates the agreement for reasons other than a breach by the Client, all unearned fees will be refunded.
8. Limitation of Liability
Surcoat will not be liable for any indirect, incidental, or consequential damages. Our total liability for any claim arising out of this agreement will not exceed the total fees paid by the Client for the services.
9. General Provisions
This document constitutes the entire agreement between the Client and Surcoat. It is governed by the laws of The United Kingdom.
